IMPORTANT: READ CAREFULLY BEFORE USING THIS SOFTWARE

This Vidai Community Edition software ("Software") is licensed, not sold,
to you by Vidai UK Limited ("Vidai") for use only under the terms of this
Community Edition License Agreement ("Agreement"). The Software is the
same gateway product offered under Vidai's Enterprise License Agreement;
the edition you are entitled to use is determined by your Vidai License
Key.

1. LICENSE GRANT

Subject to the terms of this Agreement and your valid Community License
Key, Vidai grants you a limited, non-exclusive, non-transferable,
royalty-free license to:

   a) Install and use the Software on servers owned or controlled by you
   b) Configure the Software for your own purposes
   c) Allow your authorized users to access the Software

This license has no expiry date for so long as you comply with this
Agreement. The Community Edition is the full self-hosted gateway and is
not a time-limited trial.

   COMMERCIAL USE. Use of the Software for personal, evaluation, or
   other non-commercial purposes is permitted under this license without
   further approval. Use of the Software for any commercial purpose —
   including use by or on behalf of a business, or in connection with a
   commercial product or service — requires Vidai's prior written
   approval. To request commercial-use approval, contact

2. RESTRICTIONS

You may NOT:

   a) Redistribute, sublicense, resell, rent, or lease the Software
   b) Modify, reverse engineer, decompile, or disassemble the Software
   c) Remove or alter any proprietary notices or labels
   d) Use the Software beyond the scope of the Community tier, or
      attempt to access Enterprise-tier features not licensed to you
   e) Share your License Key with, or transfer it to, any other party
   f) Use the Software for a commercial purpose without the prior
      written approval described in Section 1
   g) Offer the Software to third parties as a hosted or managed
      service

3. LICENSE KEY AND EDITION

Your Vidai License Key activates the Software and determines your
edition and entitled features. The Community Edition provides the
core self-hosted gateway. The following capabilities are NOT included
in the Community Edition and are licensed separately under Vidai's
Enterprise (or higher) tiers:

   - Machine-learning guardrails (prompt-injection, toxicity, and PII
     detection). Regex-based guardrails and routing rules ARE included
     in the Community Edition.
   - Custom rate-card server and premium rate-card refresh
   - Enterprise identity integration (SSO / LDAP)
   - Priority support and service-level agreements
   - High availability (Vidai Mesh)
   - Compliance reporting and audit-evidence trails

The License Key is tied to you or your organization and may not be
shared or transferred without Vidai's written consent.

4. SUPPORT

The Community Edition is provided WITHOUT any support commitment,
service-level agreement, or guaranteed updates. Vidai may, at its sole
discretion, make updates available. Community-tier questions may be
directed to the channels listed at the end of this Agreement, but
Vidai is under no obligation to respond. Priority support, guaranteed
patches, and SLAs are available under the Enterprise tier.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. VIDAI
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL VIDAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THE SOFTWARE.

7. THIRD-PARTY COMPONENTS

The Software includes third-party open-source components. Those
components are licensed to you under their own respective license
terms, which are reproduced in the LICENSES/ directory distributed
with the Software. Nothing in this Agreement limits your rights, or
adds to your obligations, under those third-party licenses.

8. TERMINATION

This license is effective until terminated. Vidai may terminate this
license if you fail to comply with any term of this Agreement,
including the commercial-use approval requirement in Section 1. Upon
termination, you must cease all use of the Software and destroy all
copies in your possession or control.

9. UPGRADING TO ENTERPRISE

You may obtain an Enterprise license at any time, which unlocks the
features listed in Section 3 and includes support and service-level

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with
the laws of England and Wales, without regard to conflict of law
principles. The parties submit to the exclusive jurisdiction of the
courts of England and Wales for the resolution of any dispute arising
under this Agreement.
