IMPORTANT: READ CAREFULLY BEFORE USING THIS SOFTWARE

This VidaiServer Enterprise software ("Software") is licensed, not sold,
to you by Vidai UK Limited ("Vidai") for use only under the terms of this
Enterprise License Agreement ("Agreement").

1. LICENSE GRANT

Subject to the terms of this Agreement and your valid Enterprise License Key,
Vidai grants you a limited, non-exclusive, non-transferable license to:

   a) Install and use the Software on servers owned or controlled by you
   b) Configure and customize the Software for your internal business purposes
   c) Allow your authorized users to access the Software

2. RESTRICTIONS

You may NOT:

   a) Redistribute, sublicense, or resell the Software
   b) Modify, reverse engineer, or decompile the Software
   c) Remove or alter any proprietary notices or labels
   d) Use the Software beyond the scope of your license tier
   e) Share your License Key with unauthorized parties

3. LICENSE KEY

Your Enterprise License Key is required to activate the Software. The License
Key is tied to your organization and may not be shared or transferred without
written consent from Vidai.

4. SUPPORT

Enterprise license includes:

   - Technical support via email
   - Access to software updates during the license period
   - Priority bug fixes and security patches

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. VIDAI
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL VIDAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THE SOFTWARE.

7. TERMINATION

This license is effective until terminated. Vidai may terminate this license
if you fail to comply with any term of this Agreement. Upon termination, you
must destroy all copies of the Software.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the
laws of England and Wales, without regard to conflict of law principles.
The parties submit to the exclusive jurisdiction of the courts of England
and Wales for the resolution of any dispute arising under this Agreement.
